Mentor Agreement

1. Introduction

This Mentor Agreement (“Agreement”) sets out the terms on which you participate as a mentor on Proxima Mentor (“the Platform”). By applying to become a mentor and using the Platform in that capacity, you agree to these terms. If you do not agree, you must not offer mentoring through the Platform.

2. Your Role as a Mentor

You will provide mentoring (advice, guidance, and support) within the areas of expertise and session types you define on your profile. Mentoring is not a substitute for professional advice (e.g. legal, medical, or financial) where such advice is required. You will conduct sessions in a professional, respectful, and confidential manner and in line with our Code of Conduct.

3. Platform Use and Compliance

You agree to:

  • Keep your profile and availability accurate and up to date.
  • Honour sessions booked through the Platform: attend on time or cancel with reasonable notice, and communicate clearly with mentees.
  • Use the Platform’s messaging and booking system for session-related communication where appropriate, and not to circumvent the Platform for the purpose of avoiding fees or policies.
  • Comply with the Code of Conduct and all other policies we publish and update from time to time.

4. Fees and Payments

Session fees and any other charges are set by you (within Platform limits) and/or as agreed through the Platform. A platform fee of 15% applies to each completed session; you receive the remainder after payment processing. Payment processing, payouts, and related terms may be governed by separate payment and payout policies and by third-party payment providers. You are responsible for any tax or legal obligations arising from your earnings as a mentor.

5. Confidentiality

You will keep confidential any personal or sensitive information shared by mentees during sessions or in private messages, except where disclosure is required by law or with the mentee’s consent. This obligation continues after the mentoring relationship or your use of the Platform ends.

6. Suspension and Termination

We may suspend or end your access to the Platform as a mentor, or remove your profile, if we reasonably believe you have breached this Agreement, the Code of Conduct, or any other policy, or for operational or legal reasons. You may stop offering mentoring through the Platform at any time, subject to completing or cancelling any already-booked sessions in line with our policies.

7. Limitation of Liability

The Platform facilitates connections between mentors and mentees. We are not responsible for the content or quality of mentoring sessions, or for any decisions or actions taken by mentees based on your guidance. Our liability to you in connection with the Platform is limited to the extent permitted by applicable law.

8. Changes

We may update this Agreement and will notify you of material changes (e.g. by email or a notice on the Platform). Continued use of the Platform as a mentor after changes take effect constitutes acceptance of the updated Agreement.
